Driver Agreement
Driver Agreement
This Driver Agreement ("Agreement") is entered into between [WhatWhenWhere.App], ("Company") and you ("Driver") as of the date Driver agrees to these terms within the Company's mobile application ("App").
**1. Acknowledgment of Terms**
1.1 By using this Application driver agrees to be bound by the terms of this Agreement.
1.2 Driver acknowledges and agrees that they are an independent contractor and not an employee of the Company. This Agreement does not create any employment relationship between Driver and Company.
1.3 Driver agrees to perform delivery services for the Company as an independent contractor. Driver has the right to control and direct the means and manner of performing the delivery services.
**2. Authorization and Permissions**
2.1 Driver agrees to give authorization and permission for the following checks as required:
- Identity verification
- Criminal background check
- Motor vehicle report
- Driver's history check
- Proof of auto insurance check
- Credit check (if applicable)
**3. Tax Responsibilities**
3.1 Driver agrees to complete and forward a signed and dated W-9 form.
3.2 Driver acknowledges that all income generated from tasks performed using the App will be reported on a 1099 form.
3.3 Driver acknowledges and agrees that they are solely responsible for paying taxes due to federal, state, and local tax authorities as applicable and required.
**4. Scope of Services**
4.1 Driver acknowledges that performance of tasks using the App may include deliveries, assemblies, installations, or other types of contracted work.
4.2 Driver shall provide delivery services to customers of the Company as assigned through the Company's platform or dispatch system.
4.3 Driver acknowledges and agrees that they are solely responsible for determining the most effective manner to perform the delivery services, including but not limited to the selection of routes and methods.
4.4 Driver agrees to use their own vehicle for performing the delivery services. Drivers shall maintain their vehicle in good working condition and comply with all applicable laws and regulations related to the operation of a motor vehicle.
4.5 Driver acknowledges and agrees that failure to complete
**5. Independent Contractor Status**
5.1 Driver acknowledges and agrees that they are performing services as an independent contractor and are not an employee of the Company.
6. Compensation
6.1 Driver shall be compensated based on a fee schedule or commission structure as outlined in a separate agreement or through the Company's platform.
6.2 Driver agrees that the Company will not withhold any taxes from payments made to Driver. Driver is responsible for paying all applicable federal, state, and local taxes.
**7. Expenses**
7.1 Driver acknowledges and agrees that any and all expenses incurred in connection with performing delivery services, including but not limited to gas, tolls, parking, traffic violations, vehicle insurance with proper coverage, vehicle maintenance and repairs, dollies, straps, gloves, and tape will not be reimbursed by the Company and are the responsibility of the Driver.
7.2 Driver agrees that the Company shall not reimburse Driver for any expenses of any kind.
**8. Delivery Procedures**
8.1 Driver agrees to adhere to the following delivery procedures:
- Upload images for proof of pick-up at the pick-up location.
- Prior to taking possession of items, verify there is no damage to delivery items and make pick-up notes of any damages.
- If damage is noted, Driver is to refuse the item and request a replacement with undamaged items.
- If damage is recorded after delivery, Driver will be responsible for said damage.
8.2 At the drop-off/delivery location, Driver agrees to:
- Obtain the name and signature of the recipient, or if no one is available to sign, provide an image for proof of delivery.
- Ensure the proof of delivery image contains a clear view of items delivered, showing the items and delivery address and a larger picture of the actual property with delivered items in the picture..
9. Term and Termination
9.1 This Agreement shall commence on the date signed by Driver and shall continue until terminated by either party as provided herein.
9.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
10. Confidentiality
10.1 Driver agrees to keep all information related to Company's business and customers confidential and not to disclose such information to any third party.
**11. Miscellaneous**
11.1 This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
11.2 This Agreement shall be governed by and construed in accordance with the laws of [State of Florida].
